Terms of Service

1. Agreement to Terms

By accessing or using the Naubly website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

Naubly provides software engineering consulting services, including but not limited to platform architecture, backend development, performance engineering, and complex integrations. The specific scope of services will be defined in individual agreements with clients.

3. Intellectual Property

Unless otherwise specified in a client agreement, all intellectual property rights in work product created by Naubly shall be assigned to the client upon full payment. Naubly retains the right to use general knowledge, skills, and experience gained during engagements.

4. Confidentiality

We maintain strict confidentiality regarding all client information, proprietary data, and business processes. Confidentiality obligations survive the termination of any engagement.

5. Limitation of Liability

To the maximum extent permitted by law, Naubly shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to our services. Our total liability shall not exceed the fees paid for the specific services giving rise to the claim.

6. Payment Terms

Payment terms, rates, and schedules will be specified in individual client agreements. Unless otherwise agreed, invoices are due within 30 days of receipt.

7. Termination

Either party may terminate an engagement with 30 days written notice. Client shall pay for all work completed up to the termination date.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
